LOSCHELDER advises the REWE Group on the planned sale of Glockenbrot Bakery to Harry-Brot

LOSCHELDER has advised the REWE Group on the planned sale of Glockenbrot Bakery to Harry-Brot and the sustainable, new utilization and further development of a larger site in Erlensee near Frankfurt.

From 2028 onwards, Harry-Brot will produce bread and baked goods at the site in Erlensee in a state-of-the-art large bakery—also for the REWE Group. Additionally, production in Bergkirchen will be sold to Harry-Brot and will be managed by Harry-Brot in the future. The REWE Group plans to gradually exit from its own production of bread and baked goods. Therefore, the existing production facility of Glockenbrot Bakery in Frankfurt is expected to be gradually shut down over the next three to five years.

The completion of the transaction is still subject to approval by the competition authorities.

Loschelder’s advice primarily covered the corporate planning and implementation of the transaction and ownership structure, as well as the divestitures to Harry-Brot associated with the transaction.

The cooperative REWE Group is one of the leading retail and tourism groups in Germany and Europe. In 2023, it achieved external revenues of over 92 billion euros and employs around 390,000 people in 21 countries.

Glockenbrot Bakery has been part of the REWE Group since 1986, and the Bergkirchen site since 2010. The Frankfurt site employs about 480 people, while Bergkirchen employs around 320.

Harry-Brot GmbH, based in Schenefeld near Hamburg, is the market leader in bread and baked goods, employing over 5,000 people at ten locations.
