LOSCHELDER advises Pfeifer & Langen Familienholding on the acquisition of a majority stake in Rügenwalder Mühle
LOSCHELDER has advised the family holding Pfeifer & Langen Industrie- und Handels-KG on trade mark and other IP law issues in connection with the acquisition of a majority of shares in the family-owned company Rügenwalder Mühle.
In addition to the classic range of meat and sausage products, Rügenwalder Mühle Carl Müller GmbH & Co. KG is one of the leading suppliers of vegetarian and vegan meat and sausage alternatives in Germany. The Cologne-based Pfeifer & Langen Familienholding has acquired a majority stake and intends to integrate the holding into the business segment "The Nature's Richness Group" of Pfeifer & Langen IHKG, subject to the approval of the antitrust authorities. This company combines various holdings that are active in the development and production of new plant-based foods, including "endori". Both brands - "Rügenwalder Mühle" and "endori" - are to be continued independently.
LOSCHELDER's IP team was responsible for all issues relating to Rügenwalder Mühle's extensive brand portfolio and the company's R&D contracts in the transaction and conducted the due diligence for this area. Partners Dr Stefan Maaßen and Dr Patrick Pommerening have been advising Pfeifer & Langen Group companies on intellectual property law issues on an ongoing basis for several years.
Pfeifer & Langen/The Nature's Richness Group was advised by Dr Stefan Maaßen, LL.M. (IP, lead), Dr Patrick Pommerening (IP), Dr Thomas Schulte Beckhausen (IP), Dr Felix Ebbinghaus (corporate law/M&A) and associates Melissa Widder (IP) and Simone Davepon (corporate law)
A McDermott team led by Dr Philipp Grenzebach advised Pfeifer & Langen on the other parts of the transaction. Jan Pieter Loock of Kutzenberger, Wolff & Partner, Cologne, provided patent law advice.
The shareholders of Rügenwalder Mühle Carl Müller GmbH & Co. KG were advised by CMS Hasche Sigle, Munich, led by Dr Michael Wangemann.
