LOSCHELDER advises acquirer consortium comprising the BK Retail Group
LOSCHELDER has advised the acquirer consortium comprising the BK Retail Group, Daniela Rumberg and Axel Heiter on the acquisition of key assets of the insolvent Adenauer & Co.
The BK Retail Group, founded by Kai Teute and Benedikt Beins, together with Daniela Rumberg and Axel Heiter, are acquiring key assets and a majority of the employees of the Adenauer & Co. Group through Adenauer & Co. Retail GmbH in the context of an asset deal. The aim of the acquisition is to continue the Adenauer & Co. brand on a stable foundation, to preserve the brand’s values and to look positively towards the future together with customers and retail partners. With the acquisition, more than 160 jobs will also be secured.
The Adenauer & Co. Group was founded in 2010 and operates 53 locations across Europe. In order to implement a sustainable restructuring, the management filed an application for self-administration with the Local Court of Düsseldorf on 15 May 2026. The individual insolvency proceedings for the entire group of companies were subsequently opened as planned under self-administrationon 1 August 2026.
The BK Retail Group is the majority shareholder in the new going-concern entity. After the BK Retail Group, Daniela Rumberg operates the most locations on the North Sea coast and in North Rhine-Westphalia. Axel Heiter has built up the Adenauer & Co. online shop since the company’s founding in 2010 and has managed it as managing director ever since. All new shareholders have many years of experience in the retail sector.
LOSCHELDER advised the acquirer consortium on all relevant aspects of a purchase out of insolvency in the context of the transaction.
