LOSCHELDER advises Fahl Group on takeover of Orbisana out of insolvency
Insolvency administrator Christian Plail of SGP Schneider Geiwitz has transferred the shares in Orbisana Healthcare GmbH to Andreas Fahl Medizintechnik-Vertrieb GmbH by way of insolvency plan proceedings.
The reason for Orbisana's insolvency was the financial difficulties of the former parent company WB D2C Group GmbH, to which Weltbild also belonged. After filing for insolvency on July 17, 2024, the proceedings were opened before the Augsburg Local Court on October 1, 2024. The insolvency administration team was able to restructure and realign Orbisana.
There were a number of bidders in the investor process conducted by WMCF CORPORATE FINANCE. Andreas Fahl Medizintechnik-Vertrieb GmbH was awarded the contract in view of its future prospects. The acquisition of Orbisana is intended to further expand the range of products and services for patients, hospitals, care facilities and health insurance companies.
On April 10, 2025, the creditors unanimously approved the insolvency plan. The Augsburg Local Court terminated the insolvency proceedings as of May 1, 2025. The restructuring of Orbisana through the implementation of various carve-out measures as well as the capital measures provided for in the insolvency plan have also been completed in the meantime. Over 200 jobs will be saved.
LOSCHELDER accompanied the entire investor and transaction process for the Fahl Group. This included notably the negotiation and conclusion of an investor agreement and the implementation of the insolvency plan.
