LOSCHELDER has advised Conclusion Group on the acquisition of diva-e Group.
The diva-e Group is one of the leading digital service providers in Germany. With a revenue of around 100 million euros in 2023 and over 800 employees at a total of 10 locations in Germany, Bulgaria and the United States, the diva-e Group covers the entire digital value chain of business, from planning to implementation and maintenance. Leading companies such as ALDI SÜD, EDEKA, Allianz, Bentley, E.ON, ZF Friedrichshafen and FC Bayern Munich are among diva-e Group's clients.
The Dutch Conclusion Group is a European IT service provider with more than 3,900 employees in Europe and South Africa and a revenue of about 560 million euros in 2023. Conclusion Group comprises more than 30 companies in the field of business transformation and IT services. The merger of Conclusion Group with the diva-e Group is intended to set new standards in the digital sector and create a cross-border powerhouse for digital experience and business transformation. In connection with the transaction, the management of diva-e Group has re-invested in diva-e Group and Conclusion Group by way of a management stake.
The acquisition is subject to clearance by the competent merger control authorities and is expected to be completed during the second quarter 2024.
The parties have agreed not to disclose the purchase price.
